(DELIVERING THE JUDGMENT OF THE COURT)

[1] The Respondent’s application by way of notice of motion in Enclosure
11A is essentially applying for a stay of execution of the Court of Appeal’s order dated 13 May 2009 pending the disposal of its application for leave to appeal to the Federal Court which is fixed for hearing on 10 August 2009, and if leave is allowed, then until the disposal of the appeal to the Federal Court.
[2] The notice of motion came up for hearing before us on 7 July 2009.
The parties through their respective learned counsel Mr Fahri Azzat, and Mr Robert Lazar (assisted by Ms Caryn Yu) have achieved consensus and prepared a draft consent order in the following terms:
“That a stay of execution on the Order of Court dated 13
May 2009 be granted until 10 August 2009 on terms that in the event the Rights Issue is proceeded with in the interim, that the Appellant shall be entitled to participate in such Rights Issue as if it were the registered holder of
such shares as decreed presently.”

[3] We thanked the respective learned counsel for their ability in achieving consensus and recorded the consent judgment in terms of the draft prepared by them.
[4] We ordered the costs to follow the event in the leave application in the Federal Court.
