Delegation of powers and duties of Board of Directors

18.
(1) The Board of Directors may delegate to the Chairman or any other Director or any employee of such Board any of its powers and duties.
(2) The Chairman, other Director or employee to whom any of the powers or duties of the Board have been delegated under sub-section (1) shall exercise or perform the powers or duties so delegated subject to the general or special directions of the Board.
